Terms and Conditions August 2026

1. About these terms

These Terms and Conditions of Purchase (Terms) apply when you buy any service, package, coaching program, call or product (Services) from Michelle DeRoubaix (we, us, our).

These Terms apply in addition to our Website Terms of Use and our Privacy Policy, which are incorporated by reference. If there is any inconsistency between these Terms and the Website Terms of Use in relation to a purchase, these Terms prevail.

By completing a purchase, paying (including paying the first instalment of a payment plan), or attending a paid session, you agree to these Terms. If you do not agree, please do not purchase.

Nothing in these Terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by the ACL or any other law that cannot lawfully be excluded (Non-Excludable Rights). Where a Non-Excludable Right applies, and to the extent these Terms are inconsistent with it, the Non-Excludable Right prevails.

2. The Services

We currently offer the following Services. The specific inclusions, prices and any package options are those described on the relevant sales page and displayed at checkout at the time of purchase.

a. Nurse Application Support

CV, Cover Letter & Selection Criteria — a done-for-you written application (CV/resume, cover letter and selection criteria) tailored to one nominated role.

Full Application Package & Interview Prep — the above, plus three (3) × 60-minute interview coaching / preparation calls.

Application Support Call — a paid one-off consultation (where offered).

b. Nurse Leadership Mastery Program

A 12-week, 1:1 leadership coaching program, including (as described on the sales page): six (6) bi-weekly 1:1 coaching calls, a tailored 12-week roadmap, leadership toolkits/workbooks, WhatsApp access between sessions (see clause 12), and the listed bonuses (Clifton Strengths assessment and debrief; a CV, cover letter and selection criteria review).

We may add, vary or withdraw Services from time to time. Any change applies from the date it is published and does not affect Services you have already purchased.

3. Booking and formation of the agreement

A binding agreement is formed when we receive your payment (or your first instalment) and send you a confirmation. Places, particularly 1:1 program places, are limited and are allocated on payment.

You must provide accurate and complete information at checkout and when we ask for details needed to deliver the Services (for example, the role you are applying for, position descriptions, your current CV, and background information).

You confirm you are at least 18 years old and are purchasing for your own use.

4. Prices, GST and payment

All prices are in Australian dollars (AUD). We are not currently registered for GST, so no GST is charged on our Services. An invoice will be provided on request.

You authorise us (and our payment processor) to charge your nominated payment method for the amount shown at checkout. For payment plans, you authorise us to charge each scheduled instalment automatically on its due date until the total is paid (see clause 5).

You are responsible for keeping your payment details current. If a card expires or is cancelled, you must provide updated details before the next due date.

Any statement that a Service is "tax deductible" is general information only. Whether an expense is deductible depends on your personal circumstances, and you should confirm this with your own accountant or the ATO. We do not provide tax advice.

5. Payment plans, failed payments and late-payment escalation

Where a payment plan is offered and selected:

5.1 Instalments. You agree to pay each instalment in full by its due date. The total payable under a payment plan may be higher than the pay-in-full price, as shown at checkout. Choosing a payment plan is a commitment to pay the whole amount for the Service, not a "pay-as-you-go" arrangement, and is not conditional on continuing to use the Service.

5.2 Failed payments and grace period. If a scheduled payment fails or is declined, we may re-attempt the charge and will notify you. You have 7 days from the due date (the grace period) to bring the account up to date.

5.3 Late fee. If a payment remains unpaid after the 7-day grace period, a late fee of $5 per day applies from the end of the grace period until the account is brought up to date. This reflects our reasonable administrative costs of following up overdue amounts.

5.4 Suspension. If an instalment remains unpaid after the grace period, we may pause or withhold further Services (including sessions, deliverables and WhatsApp support) until the account is brought up to date. Paused time does not extend any expiry or program end date except at our discretion.

5.5 Acceleration. If an instalment remains unpaid 14 days after its due date, the entire remaining balance for the Service becomes immediately due and payable.

5.6 Escalation and recovery. If an amount remains unpaid 30 days after its due date and you have not agreed a revised arrangement with us in writing, we may refer the debt to a third-party collection agency and/or take steps to recover it. You agree to pay our reasonable costs of recovery actually incurred (including reasonable collection-agency and legal costs). We will always contact you and give you an opportunity to resolve the arrears before escalating.

5.7 Hardship. If you are experiencing genuine financial difficulty, contact us as early as possible. We will consider reasonable requests to vary a payment schedule on a case-by-case basis. This does not waive amounts owing unless we agree in writing.

6. Your rights under the Australian Consumer Law

Our Services come with guarantees that cannot be excluded under the ACL. Among other things, we guarantee that our Services will be provided with due care and skill, will be reasonably fit for any purpose you told us about before purchase, and will be supplied within a reasonable time.

If a Service has a major failure, you are entitled to cancel and obtain a refund for the unused portion, or to keep the Service and seek compensation for any drop in value. You may also recover reasonable, foreseeable loss or damage caused by the failure.

If a Service has a problem that is not a major failure, we are entitled to remedy it within a reasonable time. If we do not, you may have the problem fixed and recover reasonable costs from us, or cancel and obtain a refund for the unused portion.

These rights are in addition to anything else we offer in these Terms, and nothing in these Terms limits them.

7. Refunds, cancellations and rescheduling

7.1 Change of mind. Because our Services are personalised and time-based, we do not offer refunds simply for change of mind, once work has commenced or a place has been reserved. This does not affect your rights under clause 6.

7.2 Done-for-you application work. Once we have started preparing your CV, cover letter or selection criteria, that portion is non-refundable for change of mind, because the work is bespoke to you. If you are not satisfied with a draft, tell us and we will revise it within scope (see clause 8.4) — this is separate from, and in addition to, your ACL rights.

7.3 Rescheduling and cancellation of individual calls. If you need to reschedule a booked coaching or interview-prep call, please give at least 48 hours' notice and we will reschedule where reasonably possible. Calls cancelled with less than 48 hours' notice, or missed without notice ("no-shows"), are treated as delivered and are forfeited, unless the cause was an emergency or a matter beyond your reasonable control.

7.4 Program cancellation (Leadership Mastery). If you cancel the 12-week program after it has commenced:

you remain liable for sessions and deliverables already provided, plus a reasonable amount reflecting the place reserved for you and preparation done; and

we will refund any pre-paid amount for Services not yet provided, less that amount.

We will act reasonably and in good faith in calculating this, consistent with the ACL and the unfair-contract-terms rules. We will not require you to forfeit amounts for Services we have not provided and are not fairly attributable to your reserved place.

7.5 Validity / expiry. All coaching calls, interview-prep calls and sessions included in any package or program must be booked and used within 6 months of purchase. Unused calls after this period lapse and do not carry over, unless the delay was caused by us or you have a right under the ACL.

7.6 Cancellation by us. If we cancel a Service for a reason that is our fault or beyond your control (for example, illness or unavailability on our part), we will reschedule or, if that is not reasonably possible, refund the amount paid for the affected, undelivered Services.

8. What the Services are — and are not

8.1 Coaching, not clinical or professional advice. Our Services are career, application and leadership coaching and educational services. Although Michelle is a Registered Nurse, the Services are not clinical, medical, nursing-practice, legal, financial or HR/industrial-relations advice, and must not be relied on as such. For advice of that kind, please consult an appropriately qualified professional (for example, your employer, union, AHPRA, a lawyer, or an accountant).

8.2 No guaranteed outcome. We help you present yourself as effectively as possible, but hiring, interview, promotion and leadership outcomes depend on many factors outside our control (including selection panels, the employer, other applicants, and your own participation). We do not guarantee that you will be shortlisted, interviewed, hired, promoted, or achieve any particular result. Any results, examples or testimonials shown are illustrative and are not a promise of your results.

8.3 Confidence guarantee (Nurse Leadership Mastery). The Nurse Leadership Mastery Program includes a confidence guarantee — this is a guarantee about how you feel in your leadership, not a guarantee of any job, promotion or other outcome (see clause 8.2). If you complete all six coaching sessions, engage with the workbooks, do the work, ask questions and use the support provided, and by the end of the 12 weeks you do not feel measurably more confident, clear and capable as a leader, we will provide one additional 60-minute coaching session at no charge. This is a goodwill guarantee, offered in addition to your rights under the ACL, and it does not limit them.

8.4 Scope and revisions. "Done for you" application work covers one nominated role per package unless otherwise agreed in writing. Reasonable revisions to a draft are included to make sure the application reflects your experience and the role. Preparing applications for additional roles, substantial rewrites for a materially different role, or extra coaching beyond the package are additional Services at additional cost.

9. Your responsibilities

To get the most from the Services, and so we can deliver them, you agree to:

provide accurate, complete and honest information (including your genuine experience, qualifications and registration status);

provide materials we reasonably request (such as position descriptions and your current CV) in a timely way;

attend booked sessions on time and participate;

not misrepresent your qualifications, registration or experience in any application — we will not knowingly assist in preparing false or misleading applications; and

treat Michelle and any materials with respect.

If you do not provide what we need, we may not be able to deliver the Services within the expected timeframes, and delays caused by this are not our responsibility.

10. Privacy and confidentiality

10.1 Privacy. We collect and handle your personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth). By purchasing, you consent to us collecting, using and storing the information you provide (including career history and information about your workplace) for the purpose of delivering the Services and communicating with you.

10.2 Our confidentiality. We treat the information you share during coaching and application work as confidential. We will not disclose your personal or workplace information to third parties except: (a) with your consent; (b) to trusted service providers who help us deliver the Services (such as scheduling, video-call and payment providers), who are required to protect it; or (c) where required or authorised by law.

10.3 Your confidentiality. Coaching may involve sharing frameworks, tools, workbooks, methods and other confidential material of ours. You agree to keep these confidential, to use them only for your own personal, non-commercial use, and not to disclose, share or on-sell them (see clause 11).

10.4 Sensitive situations. Confidentiality is not absolute. Where the law requires disclosure, or where we reasonably believe there is a serious and imminent risk to a person's safety, we may disclose relevant information to the appropriate person or authority.

10.5 Testimonials and case studies. We will only use your name, story, results or feedback in marketing with your prior consent, which you may withdraw at any time for future use.

11. Intellectual property

All materials we provide — including CVs, cover letters and selection criteria drafted for you, toolkits, workbooks, roadmaps, templates, frameworks, recordings and other content (Materials) — remain our intellectual property, except that documents written specifically for your personal application (your CV, cover letter and selection criteria) are yours to use for your own job applications.

We grant you a personal, non-transferable licence to use the Materials for your own personal, non-commercial purposes. You must not copy, reproduce, distribute, resell, publish, adapt, or share the Materials (or our frameworks and methods) with any other person, or use them to create competing services, without our prior written permission. You must not remove any copyright or proprietary notices.

12. Between-session support (WhatsApp)

Where WhatsApp or messaging access is included, it is provided as reasonable, asynchronous support for quick questions between sessions. It is offered during ordinary business hours, Monday to Friday (excluding weekends and public holidays), and we aim to respond within 48 hours during those hours. It is not a monitored or emergency service, and it is not a substitute for scheduled coaching. We may set fair-use boundaries. This support is not for clinical, safety or crisis matters — in an emergency, contact 000 or an appropriate service.

13. Third-party tools and platforms

The Services may use third-party tools and platforms (for example, video-conferencing, scheduling, payment processing, and the Clifton Strengths / Gallup assessment). Your use of those tools is subject to the relevant third party's own terms and privacy policies. We are not responsible for third-party tools, their availability, or their content, and their inclusion is not an endorsement.

14. Limitation of liability

Nothing in this clause limits your Non-Excludable Rights (see clauses 1 and 6).

To the extent permitted by law, and subject to those rights:

we are not liable for any indirect, special or consequential loss, or for loss of profits, opportunity, employment or income, arising from the Services; and

where our liability can be limited under the ACL for services not of a kind ordinarily acquired for personal, domestic or household use, our liability is limited, at our option, to re-supplying the Services or paying the cost of having them re-supplied; and

our total aggregate liability arising out of or in connection with the Services is limited to the amount you actually paid us for the Service giving rise to the claim.

We are not liable for failures or delays caused by matters beyond our reasonable control.

15. Governing law and disputes

These Terms are governed by the laws of Victoria, Australia, and you submit to the non-exclusive jurisdiction of the courts of that State and the Federal Courts of Australia.

If you have a concern, please contact us first at [email protected]— we aim to respond within two business days and to resolve issues quickly and fairly.

16. General

Variation: We may update these Terms from time to time. The version in force at the time of your purchase applies to that purchase.

Assignment: You may not transfer your purchase to another person without our consent. We may assign or subcontract our obligations provided your rights are not adversely affected.

No agency: Nothing in these Terms creates a partnership, employment or agency relationship between us.

Severance: If any part of these Terms is invalid or unenforceable, it is severed and the rest continues to apply.

Entire agreement: These Terms, together with the sales page inclusions, the Website Terms of Use and the Privacy Policy, form the entire agreement about your purchase.
